Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Wealthify ("Company", "we", "us", or "our") governing your access to and use of the Wealthify cryptocurrency trading platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable laws
• Not be located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
• Not be listed on any U.S. Government list of prohibited or restricted parties

Account Registration and Security

Account Creation

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your contact information is current for security notifications

Identity Verification

We may require you to complete identity verification procedures, including Know Your Customer (KYC) and Anti-Money Laundering (AML) checks. Failure to complete verification may result in limited access to Services or account suspension.

Trading and Transactions

Trading Services

Wealthify provides a platform for buying, selling, and trading cryptocurrency. All trades are subject to our fee schedule, which may be updated from time to time. We reserve the right to refuse or cancel any transaction at our discretion.

Transaction Risks

You acknowledge and accept the following risks:

• Cryptocurrency markets are highly volatile and unpredictable
• You may lose some or all of your investment
• Transactions on blockchain networks are irreversible
• Network congestion may cause delays in transaction processing
• Regulatory changes may impact the value and legality of cryptocurrencies

Fees and Payments

You agree to pay all applicable fees as described in our fee schedule. Fees are subject to change with reasonable notice. All fees are non-refundable unless otherwise stated. You are responsible for any taxes associated with your use of the Services.

Prohibited Activities

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for money laundering, terrorist financing, or other illegal activities
• Manipulate markets or engage in fraudulent trading practices
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or accounts
• Use automated systems or bots without our express written permission
• Impersonate any person or entity or misrepresent your affiliation
• Transmit viruses, malware, or other malicious code

Intellectual Property Rights

The Services and all content, features, and functionality are owned by Wealthify and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Services without our express written permission.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WEALTHIFY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free. We do not provide investment, financial, tax, or legal advice. You should consult with appropriate professionals before making any investment decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTHIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or relating to these Terms or the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Wealthify and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Wealthify operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
